“法律写作的ABC”研讨会再次开讲，这次又带来了哪些启示？

A Re-Run of ABC of Legal Writing and What It Reveals

A re-run of the workshop ABCs in English Legal Writing on June 18, 2021, co-organized by JLPW and Linli Law, supported from CAAL, revealed two hundred and more participants from China, Malaysia (Kuala Lumpur, Sabah and other cities), and other Asian countries in the region attended the workshop through cross-border online connection.

2021年6月18日，在中国仲裁法学研究会（CAAL）的支持下，由JLPW律师事务所和北京霖理律师事务所共同举办的“法律英语写作的ABC”研讨会再次举行，来自中国、马来西亚（吉隆坡、沙巴和其他城市）以及该地区其他亚洲国家的两百多名与会者在线上参加了此次研讨会。

The workshop consists of the ABC of Legal Writing part from Jack Tan, and the part of Cross-Border Drafting of Commercial Contracts and Arbitration Clauses from Dr. Jerry Zhang, and guest speaker, Thomas Manson QC, who is an Associate Professor from Peking University in transit to Beijing Foreign Study University Law School.

研讨会上，陈苇杰（Jack Tan）律师讲解了“法律写作的ABC”，张玉林博士（Jerry Zhang）分析了“国际商事合同和仲裁条款起草”。会议还请到了特邀发言人托马斯·曼森（Thomas Manson QC）先生，曼森先生是北京大学的副教授，即将转入北京外国语大学法学院任职。

The speakers from Beijing addressed why legal writing in English is important for the present time, what are the foreign related elements under Chinese law, contract drafting essentials and preferences, legal writing rules from Bryan Garner and how best to draft arbitration clauses in commercial contracts in Asia.

来自北京的演讲者们谈及了法律英语写作在当下至关重要的原因、中国法律下的涉外因素、合同起草的要点和倾向、布莱恩·加纳（Bryan Garner）的法律写作规则，以及起草亚洲商事合同仲裁条款的最佳做法。

While common law approaches to legal drafting and civil law approaches may be somewhat different, (A)ccuracy, (B)revity and (C)larity in legal drafting remain the same objective. Clear facts help application of law correctly. Context must be set out clearly and words and phrases should be used to fit into the context of the piece of writing. In relation to Chinese context, “foreign related elements” must be understood correctly so that the parties may make appropriate choices regarding applicable law and dispute resolution provisions. Understanding the skills in English legal drafting is warranted because the jurisprudence in the law is searchable from the databases from the English common law world, such as CANLII, BAILII, HKLII, AUSTLII etc. Companies doing business in the region and in the BRI countries (including Malaysian and Chinese companies) will be able to have legal guidance from the jurisprudence enshrined both in the precedent cases in English involving local and regional companies, and the precedents and judicial guides from the courts in China.

虽然普通法系的法律文书起草方法与大陆法系可能有所不同，但法律文书起草中做到准确（Accuracy）、简要（Brevity）和清晰（Clarity）仍然是两者共同的目标。事实清晰有助于正确的法律适用。语境必须明确，单词和短语的使用应符合文章的语境。就中国语境而言，必须正确理解“涉外因素”，当事人才能就适用法律和争端解决条款做出适当的选择。了解法律英语起草的技巧十分必要，因为英文普通法数据库（如CANLII、BAILII、HKLII、AUSTLII等）中可以检索到相关法律的法理。在本地区和一带一路国家开展业务的公司（包括马来西亚公司和中国公司）将能够借助涉及本地和本地区公司的英文判例以及中国法院的判例和司法指南中体现的法理获得法律指导。

Questions were raised as to whether and the extent to which Chinese Contract Law matters in reality and whether there is the concept of “judicial independence” in China. In the answers, the gist is to note that there is increasingly a trend of contractarianism arising in the Chinese market as a result of the arbitration commissions generating awards based on party autonomy principles and New York Convention rules. The law has its inner logic and, by following the legal logic, it helps impartial resolution of disputes in the “independent trial” mode in China.

有人提出了这样的问题：中国的合同法在现实中是否重要，且重要到什么程度？中国是否存在“司法独立”的概念？该问题的答复指出，由于仲裁委员会根据当事人意思自治原则和《纽约公约》规则作出裁决，中国市场上奉行契约主义的趋势日渐加深。法律有其内在的逻辑，遵循法律逻辑有助于中国以“独立审判”模式公正地解决争端。

The Civil Code in China is expected to guide the business community in China and across the region as many aspects of the civil and commercial law derive from the Civil Code. Continual cross-border joint legal webinar in some form may be explored in the future surrounding the effective application of the Civil Code and jurisprudential and commercial law development in China’s blended system combining the growth of civil law (in Mainland) and common law (in Hong Kong SAR). Let us rub our eyes and see in due course.

由于民法和商法的许多方面都来自于《民法典》，中国的《民法典》将有望为中国和整个地区的商业界人士提供指导。未来，我们可能会以特定形式继续召开跨国的联合法律研讨会，探讨《民法典》的有效应用，以及中国民法（大陆）和普通法（香港特别行政区）混合体系中的法理和商法发展。敬请各位拭目以待。
